I am a crowdfunding legal expert & attorney. AMA

    Hey All,

My name is Ryan and I am the Chair of the Intellectual Property Practice Group at Braun Blaising McLaughlin & Smith, P.C. (http://www.braunlegal.com). I am an entrepreneur, former IT consultant, and now intellectual property attorney. My combined experience lets me provide valuable legal insights to campaigners on crowdfunding related matters. I have consulted with many campaign owners on a variety of legal matters related to all aspects of launch, funding, and completion.

I know there are many questions and issues that arise during the crowdfunding process, especially those related to intellectual property matters (copyright, trademark, and patent). So ask! I am also working with Salvador to publish a weekly post on CrowdCrux, if you have an issue you would like to see addressed in these articles, please throw it out there.

    Look forward to your questions!

Please Note: The materials provided in this post and responses are for informational purposes only and not for the purpose of providing legal advice. Please contact me directly (bernardo@braunlegal.com) if you have specific legal questions regarding your situation.

I am only experienced in legal matters related to crowdfunding. However, this forum is a great resource for other matters.

Is it so great to have the chance to ask a legal expert questions about crowdfunding. I understand there are a lot of issues associated with getting money from people over the internet. My questions are specific to securities crowdfunding authorized by the JOBS Act. I hope you are an expert on that too.

    1. Does Section 12(a)(2) liability apply to Section 4(a)(6) offerings?

    2. What are the tax implications of a combined rewards and equity crowdfunding campaign?

Thanks in advance for the insightful answers.
